By using or accessing the Picsman website located at https://www.picsman.ai or other websites that may be launched from time to time under the Picsman umbrella or any Picsman products and services made available to you from or through the Picsman website or our online tool services and their related mobile applications and other products and services that may be launched in the future, you (whether on behalf of yourself or the entity you represent) agree to the terms and conditions here in (the “Terms of Use”), Picsman “Privacy Policy”, Picsman “AI Creation Service Agreement” and Picsman “Refund Policy”, all of which are incorporated herein by reference.

You undertake to accept and voluntarily abide by the terms of this agreement. You should read the entire agreement carefully before using Picsman services. However, whether or not you have in fact read this agreement carefully before using the Picsman services, this agreement shall be binding on you for as long as you use the Picsman services and you shall not then claim that this agreement is invalid or that it has been revoked on the grounds that you have not read the contents of this agreement or that you have not received an answer from Picsman to your query.

I. Background of the agreement

All material resources in Picsman are protected by relevant Chinese copyright laws and regulations and international copyright related laws. Picsman and other contributors own all rights and interests in the materials. This includes copyright, media use and trading rights.

The Picsman platform uses membership services, i.e. the purchase of a membership entitles you to the use of templates available to that level of membership and the copyright rights corresponding to the relevant membership package, please use them commercially in accordance with the scope of the licence of the corresponding membership package.

You need to understand and agree that Picsman has acted in the interests of prudence by：

1. We will check any of your output paths, files or services uploaded to Picsman and will regularly deal with any breaches of the licence agreement.

2. We will retain the design details of your output indefinitely.

3. Any use of your username and password or breach of the License agreement will be tracked. Therefore please keep your username and password safe and anyone using your account and downloading material using the license agreement will be liable for full payment of the relevant fees.

4. In exceptional circumstances, suspend or terminate your account without notice to you. If it is found or Picsman has evidence that you have breached the License agreement or any misuse of your username and password, we will terminate your account and not refund all fees paid by you.

II. Terms of use agreement

Subject to the terms and conditions of this agreement, we grant you a perpetual, non-exclusive, non-transferable, worldwide license to use the Image Materials in one of your Picsman designs in accordance with this agreement. The scope of use of the Material is expressly agreed in the agreement and you will not be permitted to use the Material outside the scope of use agreed in the agreement. All other rights in the Image Materials, including but not limited to copyright and other intellectual property rights, are reserved by Picsman and the respective Contributors.

III. Prohibited uses

The following are prohibited：

1. Online image database search services, such as copying or reproducing image material or Picsman' designs more than 500,000 times.

2. The installation and use of photographic media in multiple locations or the publication of copies of designs on a web server or web server for use by other users.

3. Including all templates for photographic material, web templates, social networking sites, documents, projects or otherwise distributed or sold to third parties.

4. Applications used for the resale of relevant design templates, whether online or not, including but not limited to website templates, business card templates, flash templates, e-card templates and brochure design templates.

5. Distributing licensing, reselling, renting, lending, assigning, gifting or otherwise transferring or distributing the photographic media or the rights granted under this One Time Use Agreement.

6. Use any material as part of a trademark, design mark, trade name, business name, service mark or logo.

7. Remove copyright, trademark or other proprietary rights from any place where the Image Material is embedded in a Resource or design by Picsman.

8. Use the stock footage to create pornographic, obscene, immoral, offensive, defamatory or libellous images through Picsman, or likely to cause personal or property damage to others.

IV. Disclaimers

Picsman will endeavour to correct defects in categorisation, keywords, explanatory text and naming of image material resources, but cannot guarantee the accuracy of such information, nor can it guarantee the accuracy of the metadata provided.

V. Termination

This agreement shall remain in effect for the duration of your use of the Picsman services. Picsman may terminate this agreement with or without notice to you if you use or attempt to use the Site or its content in violation of the terms of this agreement. In the absence of other adequate legal action, Picsman reserves the right, in addition to termination, to temporarily suspend or permanently terminate your account or password. Upon termination or expiration of this agreement, the terms of this agreement will remain in effect.

VI. How these terms are updated

Picsman reserves the right to make and amend this agreement from time to time as necessary and to announce it by way of public notice on the website without further separate notification to you. The changed agreement and rules will automatically take effect as soon as they are published on the website. If you do not agree to the relevant changes, you may stop using the Picsman services. Your continued use of the Picsman services shall constitute your acceptance of the revised agreement and Rules.
